London, England, January 27, 2022. Renta Group Oy (together with its affiliates, the “Renta Group”) has been advised that Ren10 Holding AB (the “Issuer”), a special purpose vehicle indirectly controlled by funds managed or advised by IK Partners (“IK”), today announced the successful pricing of €350,000,000 aggregate principal amount of senior secured floating rate notes due 2027 (the “Notes”), at par plus accrued and unpaid interest, if any, from the Issue Date. The Notes are expected to be issued on February 3, 2021 (the “Issue Date”), subject to customary closing conditions.

The Notes will bear interest at a rate equal to three-month EURIBOR (subject to a 0.0% floor) plus 4.375% per annum, reset quarterly. Interest on the Notes will accrue from the Issue Date and will be payable quarterly.

The gross proceeds from the offering of the Notes (the “Offering”), if completed, will be used together with equity contributions, (i) to pay the cash purchase price for the acquisition of the Renta Group by the Issuer (the “Acquisition”), (ii) to refinance certain existing indebtedness of the Renta Group, (iii) for general corporate purposes and (iv) to pay fees, costs and expenses in connection with the Offering, the Acquisition and related transactions.
